We advise on the optimal corporate vehicle, including ΑΕ under Law 4548/2018, ΙΚΕ under Law 4072/2012 and ΕΠΕ. We negotiate shareholders agreements and joint venture agreements, draft term sheets and structure cap tables, advise on preferred shares, ROFR, drag along, tag along, anti-dilution and liquidation preference clauses. We deliver M&A services from due diligence to closing, including SPAs, escrow arrangements and post-closing integration. We advise on agency, distribution, terms and conditions of trade, grant agreements, clinical trial agreements (CTAs), CDAs and MTAs, and on intellectual property and licensing transactions. We also advise on competition law clearance under Greek and EU merger control, on FDI screening under Law 4972/2022 and on ESG disclosure under Directive (EU) 2022/2464 (CSRD).
